1. About Dispo

Dispo is a two-sided marketplace operated by WP Innovations LLC, a Texas limited liability company ("Dispo," "we," "us"). The service connects industrial-waste generators with licensed waste haulers, disposal providers, and equipment-rental companies.

2. What Dispo is not

Dispo is software, not a waste broker.
We do not own, lease, or operate vehicles, equipment, or disposal facilities.
We do not take title to waste, fuel, or other physical materials.
We do not serve as the hazardous-waste manifest of record.
We do not dispatch, direct, or supervise providers' drivers or operations.

3. User roles

Generators post jobs describing waste-disposal, transportation, or equipment-rental needs.Providers are independent, licensed third-party companies that bid on and perform those jobs. Each company may have multiple users; the company is responsible for its users' actions.

4. Your responsibilities

Generators must provide accurate waste characterization, maintain their EPA ID (if required), hold valid insurance, and only post jobs for waste they can lawfully generate or own.

Providers must maintain current credentials (EPA / TCEQ / RRC / ISN / Avetta / USCG / OSRO / insurance), operate in compliance with law, only bid on jobs they're licensed and insured to perform, and notify us of material changes in credential status.

5. Terms Record

When a generator accepts a provider's bid, Dispo generates a "Terms Record" documenting the parties, scope, pricing, and time of acceptance. The Terms Record reflects the parties' agreement at that moment. It does not replace EPA Form 8700-22 (Uniform Hazardous Waste Manifest), bill of lading, or other regulatory documentation.

6. Fees

Generators use the Service free of charge. Providers pay a subscription or per-use fee described on our pricing page. We may change fees with 30 days' notice.

7. Credential verification

Providers may upload credentials for display on their profile. Verification by Dispo is non-binding. We may review submitted credentials but do not independently audit them. Generators must perform their own due diligence before accepting a bid.

8. Limits of liability

Our aggregate liability to any user is capped at fees paid to us in the preceding 12 months. We are not liable for indirect, consequential, incidental, or punitive damages. We are not liable for acts or omissions of providers, generators, or other third parties.

9. Governing law

These Terms are governed by Texas law. Venue for litigation is Harris County, Texas.
